1. About these terms

These Terms of Use govern your use of https://kornconsultancy.com, its subdomains and the content and free tools on them (the "Website"). The Website is operated by Korn Advisory & Consultancy Pte Ltd (UEN 202645790C), trading as Korn Consultancy, of 60 Paya Lebar Road, #06-28 Paya Lebar Square, Singapore 409051 ("we", "us").

By using the Website you agree to these terms. If you do not agree, please do not use the Website. Additional terms apply to our free tools (Assessment & Tools Terms) and to booking sessions (Booking Terms).

2. No professional relationship

Using the Website, booking a complimentary session, completing an assessment or contacting us does not create a client, advisory, fiduciary or professional relationship. Any engagement is governed solely by a separate written engagement letter or agreement signed by both parties.

3. Using the Website

You may use the Website for lawful purposes and for your own, or your organisation's, internal business use. You must not:

  • use the Website in a way that breaks any law or regulation, or infringes anyone's rights;
  • attempt to gain unauthorised access to the Website, its admin area, servers or databases, or interfere with its security or operation;
  • introduce viruses or other harmful code;
  • use bots, scrapers or automated means to access, copy or extract content or data, except search engines indexing public pages;
  • submit false, misleading or unlawful information, or personal data of others without their permission; or
  • reverse-engineer, copy or resell our tools, assessments, frameworks or content.

4. Intellectual property

All content on the Website, including text, articles, graphics, logos, the "Korn Consultancy" name and logo, assessment questions, calculators, checklists, frameworks and methodology names, is owned by or licensed to Korn Advisory & Consultancy Pte Ltd and protected by intellectual property laws.

You may view, print and share our content for your internal, non-commercial business use, provided you keep it complete and unaltered and credit Korn Consultancy. You may share our downloadable checklist in its complete, unaltered form with attribution. Any other use requires our prior written permission.

Third-party names, logos and trademarks on the Website (including names of former employers, institutions and certification bodies) belong to their owners and are used for identification only.

5. Information you submit

You are responsible for the information you submit through the Website. Please do not send confidential, commercially sensitive or material non-public information through our forms; we are happy to put a mutual non-disclosure agreement in place before such information is shared. We handle personal data as described in our Privacy Policy.

6. Content and availability

Website content is general information only (see our Disclaimer). We may change, suspend or withdraw any part of the Website, including our tools, at any time without notice. We do not guarantee that the Website will be uninterrupted, error-free or free of viruses.

The Website links to and uses third-party services (for example Google Calendar, LinkedIn, Credly and MailerLite). We are not responsible for their content, availability or practices; your use of them is subject to their own terms.

8. Disclaimer of warranties

To the maximum extent permitted by law, the Website and its content and tools are provided "as is" and "as available", without warranties of any kind, express or implied, including accuracy, completeness, fitness for a particular purpose and non-infringement.

9. Limitation of liability

To the maximum extent permitted by law:

  • Korn Advisory & Consultancy Pte Ltd, its directors, employees and representatives are not liable for any indirect, incidental, special or consequential loss, or for any loss of profit, revenue, business, opportunity, goodwill or data, arising from or in connection with the Website, its content or tools, or reliance on them; and
  • our total liability arising from or in connection with your use of the Website is limited to SGD 100.

Nothing in these terms excludes or limits liability that cannot be excluded or limited by law, including liability for death or personal injury caused by negligence, or for fraud.

10. Indemnity

You agree to indemnify us against claims, losses and costs (including reasonable legal costs) arising from your breach of these terms or your misuse of the Website.

11. Changes to these terms

We may update these terms from time to time. The version on this page applies to your use of the Website from its effective date.

12. General

  • If any part of these terms is found invalid or unenforceable, the rest remains in effect.
  • Not enforcing a right does not mean we waive it.
  • No one other than you and us has any right to enforce these terms under the Contracts (Rights of Third Parties) Act 2001.
  • These terms are the entire agreement between you and us about your use of the Website. They do not govern any advisory engagement.

13. Governing law

These terms are governed by the laws of Singapore. The courts of Singapore have exclusive jurisdiction over any dispute arising from or in connection with them.
